What belongs in the first board pack after a buyout?
A board can receive a perfectly accurate revenue report and still miss the assumption that justified the purchase price. Start the first pack by selecting a claim the investment committee relied on. Give it a definition that finance can reproduce, a comparison period, an owner and a decision the board can take if the claim breaks.
How expansion can hide a retention miss
Consider a fictional business with $10 million of opening recurring revenue. A year later, the same customers generate $9.1 million before expansion and $10.3 million after expansion. The first figure implies 91% gross revenue retention. The second implies 103% net revenue retention. Both describe the same customers. They answer different underwriting questions.
Suppose the IC case assumed 95% gross retention and the first board pack shows only net retention. A green tile reading 103% hides a four-percentage-point miss against the original gross assumption. Before asking sales to fix churn, reconcile the opening cohort, period, currency, treatment of acquisitions and split between cancellations and contractions. The source of the gap determines who can act on it.
A row a portfolio CFO can actually maintain
| Field | Illustrative first board entry |
|---|---|
| Claim at signing | At least 95% of opening recurring revenue survives cancellations and contractions over twelve months |
| Comparable actual | $9.1m retained before expansion divided by $10m opening cohort revenue |
| Variance | 91% actual versus 95% case, or four percentage points below |
| Evidence | Freeze the customer-level bridge and retain its extraction date and owner |
| Next decision | CFO reconciles definitions. Commercial lead brings a split by cause before the next board meeting |
Ask a second person to reproduce the 91% using only the saved bridge. If they need an explanation from the deal associate who built the model, the handoff is incomplete. If the bridge is unavailable, label the result provisional and assign the missing evidence an owner.
What AI can contribute at the handoff
Use an assistant to locate the underwriting passage and propose the fields that should survive closing. Have the deal lead verify the passage and the CFO confirm that the company can produce the measure. When a revised model arrives, preserve the original case beside the revised one so the approval history remains intelligible.
